Some Services are provided directly by us, while others are fulfilled through upstream registrars, registries, hosting vendors, certificate authorities, payment processors, or other technical providers. We may modify, suspend, discontinue, replace, or reconfigure any Service at any time when reasonably necessary for legal, operational, pricing, security, or vendor-related reasons.
2.1 Upstream provider rules
Domain names, SSL certificates, and certain related Services are subject to the terms, policies, eligibility rules, verification rules, dispute rules, and operational procedures of applicable registries, ICANN, certificate authorities, and our upstream providers. Those rules are incorporated into these Terms by reference and may change from time to time without separate negotiation.
3. Account Registration
To use our Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your credentials, all activity under your account, notifying us immediately of unauthorized access, and keeping your contact and billing information current.
You must be at least 18 years of age to create an account. By registering, you represent that you meet this requirement and have the legal authority to bind yourself or the entity on whose behalf you act.
3.1 Accuracy and verification
You agree to provide accurate registration, billing, and contact information, and to promptly update it when it changes. We, our upstream providers, registries, or certificate authorities may require identity, email, phone, domain-control, or other forms of verification; failure to respond, or submission of inaccurate information, may result in suspension, cancellation, transfer lock, or deletion of the affected Service.
4. Payment & Billing
4.1 Pricing
We aim to maintain transparent pricing. Domain registration and renewal prices may reflect a fixed or variable margin above our wholesale cost, and may change due to increases from registries, ICANN, upstream providers, payment providers, taxes, foreign exchange shifts, or our own pricing decisions.
4.2 Payment methods
We accept payment methods shown at checkout, which may include major credit cards processed by Stripe or other payment partners. All transactions are billed in the currency shown at the time of purchase.
4.3 Recurring billing and renewals
Hosting, domains, email, SSL, and related services may renew automatically unless cancelled before the applicable renewal date. By maintaining an active payment method or account credit, you authorize us to charge renewal fees when due. Renewal notices are a courtesy; you remain responsible for monitoring your own renewal dates.
4.4 Failed payments and chargebacks
If a payment fails, we may notify you and provide a short grace period where commercially reasonable. We may suspend Services for non-payment, failed renewals, payment reversals, suspected fraud, or chargebacks. Chargebacks or reversed payments may result in immediate suspension or administrative lock of domains, hosting, email, SSL, or related Services until the issue is resolved.
4.5 Taxes
You are responsible for all applicable taxes, transaction fees, and foreign exchange costs. Where required by law, we will collect and remit tax.
5. Domain Registration
5.1 Intermediary role
We act as an intermediary and reseller for domain registration services. Submission of a domain order does not guarantee that a domain will be registered, renewed, transferred, or remain available. Registration becomes effective only when accepted by the relevant registry through the applicable registrar and successfully provisioned.
5.2 ICANN and registry compliance
Domain registrations are subject to ICANN policies, registry policies, registrar rules, consensus policies, dispute policies, and TLD-specific eligibility requirements. By registering or managing a domain through us, you agree to comply with all applicable domain policies, including the Uniform Domain Name Dispute Resolution Policy (UDRP) and any successor or supplemental dispute policy.

5.3 WHOIS / RDAP accuracy and disclosure
You must provide accurate and current registrant and contact information for every domain name. You acknowledge and agree that registration data may be shared with registries, registrars, escrow providers, DNS operators, verification vendors, and other parties involved in domain lifecycle management, and may be published or made available through WHOIS, RDAP, or similar services where required by law or policy.
Providing false, incomplete, outdated, or misleading registration data, or failing to respond to verification requests, may result in suspension, cancellation, transfer denial, registry lock, or deletion of the domain without refund.
5.4 Transfers and change of registrant
Inbound domain transfers generally require a valid authorization or EPP code and are subject to registry and ICANN rules. Domains may be subject to transfer locks or change-of-registrant restrictions. Where permitted by applicable policy, you authorize us and our upstream providers to act as your designated agent for changes to domain contact data and registrant data necessary to process your requested transactions.
5.5 Expiration, grace, redemption, and loss of name
Expired domains may enter grace, redemption, registry hold, quarantine, auction, deletion, or public re-release states according to registry or provider policy. We do not guarantee the availability of grace or redemption periods, and we are not responsible if a domain is deleted, auctioned, parked, transferred, or registered by another party after expiration or failed renewal.
Domain renewals and redemptions depend on successful payment, timely processing, and acceptance by the registry or upstream provider. Once a renewal, redemption, transfer, restore, or new registration has been processed, it is generally non-cancellable and non-refundable.
5.6 WHOIS privacy and proxy options
Privacy or proxy options may be available for some TLDs and unavailable for others. Even where privacy services are offered, we cannot guarantee that all personal data will be hidden from all parties or that privacy will override legal, policy, registry, or dispute-related disclosure obligations.
5.7 No infringement warranty
You are solely responsible for selecting and using your domain names. We do not evaluate whether a domain infringes another party's trademark, publicity rights, naming rights, or other legal interests, and we do not guarantee that your registration or use of a domain is lawful or non-infringing.
6. Hosting Services
6.1 Availability
We aim to provide reliable hosting services and may publish target uptime figures for commercial guidance. Any uptime statement is a target, not a guaranteed service level, unless we expressly state otherwise in a separate written SLA.
6.2 Resource usage
Hosting accounts are subject to the resource limits of the selected plan. Accounts that exceed reasonable CPU, memory, storage, inode, bandwidth, email, or other limits may be throttled, suspended, or required to upgrade.
6.3 Backups
We may perform server-level or account-level backups as a courtesy, but you are solely responsible for maintaining your own current backups of critical content, databases, mail, and configuration. We do not guarantee that backups will exist, be complete, or be restorable.
6.4 Server location
Hosting infrastructure may be located in the United States or other jurisdictions selected by us or our providers. We may change hosting locations, providers, or infrastructure as reasonably necessary.
7. Acceptable Use Policy
You may not use our Services for unlawful, harmful, fraudulent, abusive, or policy-violating activity. Prohibited activity includes, without limitation:
- Illegal activity or content that violates applicable law
- Spam, bulk unsolicited messaging, or deceptive marketing
- Phishing, fraud, impersonation, or other deceptive practices
- Distribution of malware, malicious code, ransomware, botnets, pharming, or command-and-control infrastructure
- DNS abuse or use of domains, DNS, email, or hosting for malicious technical abuse
- Copyright infringement, trademark infringement, or other intellectual property violations
- Harassment, threats, hateful or violent content, or exploitation of minors
- Activities that interfere with or disrupt our network, vendor infrastructure, or other customers
- Cryptocurrency mining or abusive automation without our explicit written authorization
We may investigate abuse reports, cooperate with registries, upstream providers, certificate authorities, payment providers, and law enforcement, and take immediate action including suspension, DNS changes, lock, deletion, service restriction, or account termination where we believe action is reasonably necessary.
8. Cancellation & Refunds
8.1 Hosting cancellation
You may cancel eligible recurring hosting services through your client area or by contacting us. Unless otherwise stated, cancellations take effect at the end of the current billing period, and we do not provide prorated refunds for unused time.
8.2 Domain and SSL refunds
Domain registrations, renewals, transfers, restorations, and most SSL certificate orders are generally non-refundable once processed because wholesale costs are incurred immediately and many such transactions cannot be reversed. Any limited courtesy exception is at our sole discretion and only if the underlying provider allows reversal.
8.3 Promotional guarantees
If we offer a money-back guarantee for specific hosting products, that guarantee applies only to the eligible product stated in the offer and does not include domains, SSL certificates, setup fees, transfers, third-party licenses, or add-on services unless expressly stated.
8.4 Termination by us
We may suspend or terminate Services or accounts with or without notice depending on the severity of the issue, including for abuse, policy violations, legal risk, security risk, non-payment, fraud concerns, vendor directives, or operational necessity. Suspension or termination does not relieve you of amounts already owed.
9. Privacy
Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, disclose, retain, and protect personal information, including information required for domain registrations, billing, fraud prevention, support, and legal compliance.
10. Limitation of Liability
To the maximum extent permitted by applicable law, ProSynServ, Inc. and eBusiness Tools Online shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, loss of goodwill, or loss of data, arising from or related to your use of our Services.
We are not liable for the acts, omissions, downtime, pricing changes, policy changes, suspensions, deletions, revocations, transfer denials, or other decisions of registries, registrars, certificate authorities, hosting vendors, payment processors, internet carriers, or other third parties on whom Services depend.
Our total liability to you for any claim arising from these Terms or your use of our Services shall not exceed the amount you paid us for the affected Service during the three months preceding the event giving rise to the claim, except where a different limit is required by non-waivable law.
Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.
11. Dispute Resolution
11.1 Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.
11.2 Informal resolution
Before initiating any formal dispute, you agree to contact us at billing@ebusinesstoolsonline.com and attempt good-faith informal resolution.
11.3 Arbitration
Any dispute not resolved informally shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, unless applicable law requires a different forum. Arbitration shall take place in Wyoming unless we both agree otherwise.
11.4 Class action waiver
To the maximum extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against us.
12. Changes to Terms
We reserve the right to modify these Terms at any time to reflect legal, regulatory, technical, security, vendor, pricing, or business changes. We will post the updated Terms on our website and update the effective date. Material changes may also be communicated by email, dashboard notice, invoice notice, or other reasonable means.
Your continued use of our Services after the effective date of updated Terms constitutes acceptance of the revised Terms.
